Miloop Editor Terms of Service
Last updated: October 2026
These Terms of Service (the “Terms”) are an agreement between you and Miloop AI, LLC, a California limited liability company (“Miloop AI,” “we,” “us”). By placing an order, you confirm that you have read and agree to these Terms. If you order on behalf of a business, you confirm that you are authorized to bind it, and “you” includes that business.
1. Scope and eligibility
These Terms apply when you order Miloop Editor, our video editing service (the “Service”). You must be at least 18 years old to use the Service. Consulting work is governed by a separate written agreement. What you ordered and its price are as stated in your order, whether placed on our website or confirmed with us by email or invoice. If an order conflicts with these Terms, the order governs for that order.
2. Orders and acceptance
When you order on our website, we place a hold on your card for a deposit of 50% of the order total; nothing is charged at that point. You may change or cancel the order at any time before we accept it. We will accept or decline within 2 business days of receiving the order, and we may decline any order at our discretion. On acceptance, we charge the deposit, the order becomes binding, and it is locked; later changes are handled under Section 5. If we decline, the hold is released and you owe nothing. Orders confirmed by email are paid by invoice, with the deposit due when we confirm.
3. Price and target length
The price of each episode is based on the target length stated in your order. We edit to that target. The finished episode may run somewhat longer or shorter as the edit requires, and the price does not change either way. If you ask to change the target length after we accept the order, we will quote the difference and proceed once you confirm it. Footage beyond the amount included in your order is charged at the rate stated in the order.
4. Footage and delivery
The day we have received all of your footage and confirmed that it is complete and opens correctly is the “footage-complete date.” We will send you an edit proposal within 2 business days of that date, and you choose what to keep. Long episodes are delivered within 5 business days after you make your choices, and shorts within 3. Delivery within 48 hours (“rush”) costs 50% more. Footage added after the proposal is treated as new footage, is charged separately, and restarts the delivery period. Delivery periods are the timelines we work to; if we expect to miss one, we will tell you promptly. A delay does not entitle you to a refund unless we cannot deliver at all (Section 8). If you have not made your choices within 10 business days of receiving the proposal, the order pauses; if we hear nothing from you for 30 days, we may close the order and keep the deposit. Footage must be supplied in common formats; we may charge for converting unusual formats. The deliverables are the finished video files; project files, templates and intermediate versions are not included. Final files are delivered by download link and kept for 90 days, so please download and back them up.
5. Revisions and acceptance
We first deliver a review copy, which may carry a watermark and is for your evaluation only. Each episode includes 2 rounds of revisions. Each round is limited to one consolidated list of changes, submitted through your order page (or by email until your order page is available) within 5 business days of receiving the review copy; each further round costs $50. Subtitles follow the names and terms you provide in your show settings; corrections to names or terms you did not provide count toward your revision rounds. Reversing choices you made in the edit proposal, adding footage, or changing the music, visual style, platform or target length is new work and will be quoted separately. You accept an episode by clicking “Accept” or confirming in writing. If, within 5 business days of receiving a review copy, you neither send a revision list nor confirm acceptance, the episode is deemed accepted. Acceptance, including deemed acceptance, ends the revision period and makes the balance due under Section 6. Additional exports of an accepted episode without content changes are charged as stated in the price list; changes after acceptance are new work, and once your material has been deleted under Section 11 an episode cannot be reopened.
6. Payment
Prices are in US dollars, and card payments are processed by Stripe. Each order is paid in two installments: a deposit of 50% of the order total when we accept the order, and the balance, being the order total less the deposit, when you accept the episode. By placing an order, you authorize us to charge the same card for the balance and for any other charges you approve, such as additional revision rounds or footage beyond the included amount. We deliver the final files once the balance is paid. If a charge fails, we may pause work until it is paid. Invoices are due on the date stated on them; amounts more than 14 days overdue accrue a late fee of 1.5% per month. If you dispute with your card issuer a charge that is due under these Terms, you remain responsible for the amount. Founding prices are locked for 12 months from your first order; after that, list prices apply, with 30 days’ notice. Applicable taxes, if any, are added.
7. Monthly plans
A monthly plan renews automatically each month, and the monthly fee is charged to your card on file at the start of each month until you cancel. You can cancel at any time by emailing info@miloop.ai or through the billing link in your receipt; cancellation takes effect from the following month, and fees for a month already paid are not refunded. Each episode in a plan is ordered separately, with its own requirements, such as type of video, subtitles, music and retouching. You may reuse the settings of any earlier episode or specify new ones, and you may change them until we accept that episode. Episodes not used in a month carry over to the following month only, and then expire. Target length or footage beyond what the plan includes is charged at the end of the month; unused minutes are not refunded. You may pause the plan for up to 2 months a year.
8. Cancellations and refunds
Before we accept an order, you may cancel it at no cost: the hold on your card is released, and any amount paid is refunded in full. After we accept an order, the deposit is non-refundable; it covers the time we reserve and the preparation we begin on acceptance. If we cannot deliver for reasons attributable to us, we will refund everything you paid for that order. No refunds are given after delivery; issues are resolved through revisions. For monthly plans, fees for a month already paid are not refunded. Refunds are made to the original payment method within 10 business days. If you have a concern, please email info@miloop.ai before contacting your card issuer.
9. Acceptable content
You may not use the Service for material that is unlawful, infringes the rights of others, is defamatory, or depicts minors in a sexual way, or for material that we reasonably consider harmful or likely to expose us to legal liability. We may decline or stop work on such material; if we stop work, we refund amounts paid for work not yet done and the order ends.
10. Rights in your footage and the finished videos
You retain all rights in the footage you provide. You confirm and warrant that you hold the rights to everything you provide to us, including consent from the people who appear, any consent required under the laws of the place where you or they are located for sending the material to us in the United States, and licenses for any music or clips you supply, and you are responsible for what you publish. If a third party brings a claim against us arising from material you provided or from your use of the finished videos, you will indemnify us against the resulting losses, damages and reasonable costs, including attorneys’ fees. Once you have paid in full, the finished videos are yours to publish, monetize and reuse; until then, they remain ours. Stock footage and music we add are licensed by us for use in that video only and may not be extracted and used separately; clips or music you specifically request are licensed at your cost. Our general templates, tools and know-how remain ours; your show settings are covered in Section 11. We include your work in our portfolio only after you have published it and with your agreement, which founding clients give when they join the private beta.
11. Your material, your show settings and what we learn
We use AI tools to provide the Service. (a) Your material, meaning your footage, audio, scripts, transcripts and finished videos, remains yours. We process it only to edit your videos, and it is stored and processed in the United States. We do not publish it, give it to anyone else, or use it to train AI models. During the Service, we may re-run your earlier episodes internally to check that changes to our tools have not affected your results. We delete your material within 90 days after the final files of your last order are delivered, so please keep your own copies. Portfolio use requires your agreement, as set out in Section 10. (b) Your show settings, such as templates, style, preferences and speech pace, belong to your account and are used only for your own videos; when our Service to you ends, you may ask us to export or delete them. (c) What we learn from editing, meaning general editing rules and improvements to our tools and workflow that contain no identifiable material of yours, belongs to us and may be used to improve the Service for all clients. Service providers process material on our behalf, including cloud hosting (Amazon Web Services) and the Claude API from Anthropic for AI-assisted decisions; under its commercial terms, Anthropic does not use customer data to train its models. If this list changes, we will update this page. Personal information such as your name and email address is handled under our Privacy Policy.
12. Warranties and limitation of liability
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, and to the maximum extent permitted by applicable law, the Service is provided without any other warranty, express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not guarantee views, subscribers or revenue. To the maximum extent permitted by applicable law, our total liability in connection with the Service is limited to the total fees you paid us in the 3 months before the claim arose, and we are not liable for indirect or consequential losses, including lost revenue, lost opportunities or platform penalties. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct. Neither party is liable for delays caused by events beyond its reasonable control.
13. Suspension and termination
Either of us may end our relationship by written notice; orders already accepted are completed or settled under Section 8. We may suspend or end the Service immediately if you breach these Terms, if a payment due is not made, or if your material falls under Section 9. Sections 8 and 10 through 15 survive the end of our relationship.
14. Changes, governing law and disputes
We may revise these Terms from time to time. Each order is governed by the version in effect when it was placed. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before starting a legal claim, each of us agrees to describe the dispute to the other in writing and allow 30 days to resolve it. Disputes arising from these Terms will be decided exclusively by the state or federal courts located in Santa Clara County, California, and each of us consents to their jurisdiction; either party may instead bring an eligible claim in small claims court. These Terms are also available in Simplified and Traditional Chinese; if the versions differ, the English version prevails.
15. General
These Terms and your order are the entire agreement between us about the Service. If any provision is held unenforceable, the rest remains in effect. You may not transfer your order or these Terms without our written consent; we may transfer them to a successor of our business. Our not enforcing a provision is not a waiver of it. Notices to you are sent to the email address on your order, and notices to us go to info@miloop.ai. You agree to receive orders, receipts and notices electronically. A business day is Monday to Friday, Pacific Time, excluding US federal holidays.
16. Contact
